By accessing and using AgencySoftware.io ("Service"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.1. Billing: Subscriptions are billed monthly in advance. Setup fees are one-time charges billed at the start of service.
4.2. Usage-Based Charges: SMS and email messaging features are billed separately at pass-through rates (approximately £0.04 per SMS and £0.001 per email). You will receive monthly invoices for usage. Voice calling features (where purchased) are charged per minute.
4.3. Payment Methods: We accept payment via credit/debit card and direct debit through our payment processor.
4.4. VAT: All prices are exclusive of VAT unless stated otherwise. UK VAT at the prevailing rate will be added to your invoice where applicable.
4.5. Price Changes: We reserve the right to modify pricing with 30 days' notice. Existing subscribers will be notified via email. Founding Agency members retain their locked-in pricing for subscription fees.
4.6. Failed Payments: If payment fails, your account may be suspended until payment is received. We will make three attempts to process payment before suspension.
5.1. Cancellation: You may cancel your subscription at any time with 30 days' written notice. Cancellation takes effect at the end of your current billing period.
5.2. Consumer Rights (UK): If you are a consumer (not purchasing for business purposes), you have the right to cancel within 14 days of purchase under the Consumer Contracts Regulations 2013. Please note that by requesting immediate access to the Service, you acknowledge that you lose this right to cancel once the service has been provided.
5.3. Refunds: Setup fees are non-refundable once the service has been configured and delivered. Monthly subscription fees are non-refundable once the billing period has commenced.
5.4. Data Export: Upon cancellation, we will provide a complete export of your data in standard formats.
We are committed to protecting your data in accordance with UK GDPR and Data Protection Act 2018. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your data.
You retain ownership of all data you input into the system. We act as a data processor on your behalf.

We aim to provide 99.9% uptime but do not guarantee uninterrupted access. We will notify you of planned maintenance where possible. We are not liable for service interruptions beyond our reasonable control.
9.1. AI voice calling features (inbound and outbound) are optional add-ons available for purchase within your account.
9.2. These services are subject to fair usage policies and additional per-minute charges.
9.3. You are responsible for ensuring compliance with Ofcom regulations and obtaining necessary consents for call recordings.
To the maximum extent permitted by law, AgencySoftware.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.
Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12.1. If you have a complaint, please contact us at hello@agencysoftware.io. We will acknowledge your complaint within 2 business days and aim to resolve it within 28 days.
12.2. If we cannot resolve your complaint to your satisfaction, you may refer the matter to alternative dispute resolution. We will provide details of appropriate schemes upon request.
12.3. Nothing in these Terms affects your statutory rights as a consumer.
We reserve the right to modify these terms at any time. Changes will be communicated via email and will take effect 30 days after notification. Continued use of the Service after changes constitutes acceptance of the new terms.
